Event Decoration Terms
Versioned terms for Nube Balloons proposals, bookings, payments, installations, rentals and event-day responsibilities.
Version 1.0 · Effective October 6, 2026
These Event Decoration Terms (“Event Terms”) apply to event-decoration services provided by Nube Balloons (“NUBE,” “we,” “us,” or “our”). They supplement the specific proposal, quote and contract for an event. If a signed event contract expressly conflicts with these Event Terms, the signed contract controls for that event.
1. Proposal and concept status
Design previews, sketches, digital mockups, uploaded inspiration and proposal images are planning tools. Unless expressly stated otherwise, they are not exact guarantees of the final installation. Balloon size, shape, shade, finish, transparency, placement and appearance may reasonably vary because of manufacturing variation, lighting, temperature, venue conditions and availability. We may make reasonable substitutions of substantially similar materials when necessary to complete the approved design.
2. Booking and reservation of date
An inquiry, event record, design submission, proposal, quote approval or verbal discussion does not by itself reserve an event date. An event is considered officially BOOKED only after NUBE has received the required signed contract/acceptance and the required initial payment or other written confirmation specified in the final proposal.
3. Standard payment terms
Unless a final written proposal states otherwise, the standard payment schedule is 70% of the approved event total due to secure the booking and the remaining 30% due seven (7) calendar days before the event.
For qualifying events paid 100% upfront by ACH, NUBE may offer the following discount: $25 for an event quote above $300; $50 for an event quote above $650; or $100 for an event quote above $1,500. Only the highest applicable discount applies, the entire qualifying amount must be paid upfront by ACH, and discounts may not be combined unless NUBE confirms otherwise in writing.
4. Late or failed payment
If a required payment is not received by its due date, NUBE may pause design/procurement work, withhold installation, release the event date, or cancel the booking after reasonable notice, subject to the event contract and applicable law. Customer remains responsible for authorized non-refundable materials, custom items and other committed costs to the extent stated in the final contract.
5. Changes after approval
Changes to colors, quantities, venue, installation location, theme, custom vinyl, rentals, add-ons, event time, setup window or design scope may change price and availability. Material changes requested after approval may require a written change order, revised quote or additional payment before work continues.
6. Cancellation and rescheduling — counsel-review draft
Because NUBE reserves event dates, schedules labor and may purchase or prepare materials in advance, the following cancellation policy applies to the initial booking payment or retainer unless the final signed contract states otherwise:
- 30 or more calendar days before the event: NUBE will refund 85% of the initial booking payment or retainer and retain 15%.
- 20 to 29 calendar days before the event: NUBE will retain 50% of the initial booking payment or retainer and refund the remaining 50%.
- 8 to 19 calendar days before the event: NUBE will retain 70% of the initial booking payment or retainer and refund the remaining 30%, subject to any non-refundable custom or committed costs described below.
- 7 or fewer calendar days before the event: the initial booking payment or retainer is non-refundable and NUBE will retain 100% of it.
Custom-made items, personalized materials, special orders, third-party charges, merchant/provider fees and other costs already committed specifically for the event may be non-refundable and may be deducted from any otherwise applicable refund to the extent disclosed or permitted by the final contract and applicable law.
If the customer cancels seven (7) or fewer calendar days before the event, NUBE will offer the customer the opportunity to request one rescheduled event date that is at least thirty (30) calendar days after the original event date. The retained booking payment or retainer may be applied as a credit toward that rescheduled event. Rescheduling is strictly subject to NUBE’s availability and is not confirmed until NUBE accepts the new date in writing. Changes in scope, venue, materials, rentals, pricing or other event requirements may result in additional charges. If no mutually acceptable date is available, the cancellation terms above remain in effect.
If severe weather, venue closure, government action, emergency, illness, supply interruption or another circumstance outside reasonable control prevents performance, the parties will attempt in good faith to reschedule or reach another reasonable solution consistent with committed costs and applicable law.
7. Venue access, delays and overtime
Customer is responsible for providing accurate venue information and obtaining required venue permissions. Customer must disclose material access restrictions, loading rules, stairs/elevators, parking limitations, security procedures, ceiling/wall restrictions, fire-code restrictions, setup deadlines and teardown requirements.
If NUBE’s crew is required to wait, remain on-site longer than the agreed setup or teardown window, return later, or perform additional labor because the customer, venue, another vendor, or event space is not ready or accessible as scheduled, NUBE may charge reasonable waiting-time, overtime, return-trip, parking, or additional-labor fees. Any applicable rate may be stated in the proposal, quote, change order, or invoice. Delays caused solely by NUBE are not chargeable to the customer.
8. Outdoor installations and environmental conditions
Balloons and décor are affected by heat, sunlight, wind, rain, humidity, cold and surface conditions. Outdoor installations carry a higher risk of movement, oxidation, popping, deflation, color change and shortened lifespan. NUBE may modify or decline an unsafe installation location. Customer agrees that reasonable deterioration caused by environmental conditions after proper installation is not a defect in services.
9. Safety and installation integrity
Customers and guests should not climb, hang from, relocate, cut, pull apart or otherwise alter installed structures or décor. Children must be appropriately supervised around balloons, frames, weights, cords, electrical accessories and other event materials. Customer is responsible for informing venue personnel and guests not to disturb installations where doing so may create risk.
10. Rentals, credit-card authorization and replacement cost
Rental stands, frames, backdrops, equipment, lighting, props and other reusable items remain NUBE property unless expressly sold. Customer is responsible for reasonable care while rental items are under the customer’s or venue’s control and may be charged for loss, theft, unauthorized disposal or damage beyond ordinary wear, subject to the final contract.
For rentals, NUBE may require a valid credit card authorization as security for the return and condition of rented property. The authorization is not intended as an automatic damage charge. If a rental item is lost, stolen, not returned, or damaged beyond ordinary wear, NUBE may charge the reasonable repair cost or, when repair is not practical, the reasonable replacement cost stated in the proposal, rental schedule, or then-current replacement value. NUBE will provide a reasonable description of the charge and supporting information upon request. Any card authorization or charge will be handled in accordance with applicable payment-network rules and law.
11. Customer-provided content and inspiration
Customer represents that they have the right to provide any image, logo, photograph, artwork, name or other content submitted to NUBE for the event. Customer authorizes NUBE to reproduce such content solely as reasonably necessary to prepare the requested proposal or event materials. NUBE may decline content that appears unlawful or infringing.
12. Photography and marketing
NUBE may photograph its own completed work for project documentation. Public marketing use of images that clearly identify private customers or guests should be based on applicable permission or a separate photo-release choice. A customer may ask NUBE not to use identifiable event images for marketing. Venue-wide or décor-only photographs that do not reasonably identify a private individual may be used to document NUBE’s portfolio subject to applicable law and any written restrictions agreed for the event.
13. Damage and pre-existing conditions
NUBE will use reasonable care during installation and removal. Customer should disclose fragile surfaces, specialty finishes, historic materials or venue rules before installation. NUBE is not responsible for pre-existing damage or for damage caused by customer/guest interference, unsafe venue conditions or venue-approved attachment methods used as directed, except to the extent liability cannot lawfully be excluded.
14. Limitation of liability — counsel-review draft
To the fullest extent permitted by law, neither party will be liable to the other for remote or unforeseeable consequential damages arising from the event. NUBE’s aggregate liability arising from a specific event is intended to be limited to the amount actually paid to NUBE for that event, except for liability that applicable law does not permit to be limited. This allocation should be read together with the final signed event contract.
15. Indemnification — counsel-review draft
To the extent permitted by law, customer will be responsible for third-party claims arising from customer-provided infringing content, undisclosed unsafe venue conditions, or material misuse/alteration of an installation by customer-controlled persons. NUBE remains responsible for its own obligations to the extent required by law.
16. Dispute resolution and Texas law — counsel-review draft
The parties should first attempt in good faith to resolve an event dispute through written notice and direct discussion. These Event Terms are intended to be governed by Texas law except where another law must apply. Any mandatory arbitration, venue selection, jury waiver or class-action waiver will be included in the final contract only after review for enforceability by qualified Texas counsel.
17. Electronic acceptance and records
When the website presents an acceptance checkbox, typed signature or similar electronic action, the customer agrees that the action may be used to evidence acceptance of the displayed version. NUBE may retain the accepted legal version, signed name, consent text and timestamp as part of the event record.
18. Privacy and communications
Personal information is handled as described in our Privacy Policy. Service-related event messages may be sent by email, phone or other contact method supplied by the customer. Promotional communications will be handled separately where additional consent or opt-out rights apply.
